Keeping Business Simple: Our Comments Shape a More Practical Law

On October 1, representatives of AmCham Slovakia, led by Viliam Myšička, met with the Minister of Justice of the Slovak Republic in a dispute resolution meeting regarding AmCham’s fundamental comments on the proposed amendment to the Commercial Register Act.

Following this meeting and the broader interdepartmental review process, we successfully achieved significant changes to the draft legislation:


Retention of Dual-Track Registration System

The Ministry accepted our proposal to retain the current system, allowing applications for registration to be submitted either through the court or a notary.
  • The original draft proposed exclusive registration by randomly assigned notaries, which would have made it difficult to estimate registration timelines.
  • While the principle of random notary assignment remains, the option to submit applications directly through the courts has been preserved.


Company Transformations

Our comments regarding the registration of company transformations (mergers, consolidations, spin-offs, and demergers) were accepted.

  • The original proposal split responsibilities between notaries and courts, potentially prolonging the process.
  • Based on our feedback, the Ministry retained the current framework, where all transformations are registered exclusively by the courts.


Withdrawal of Additional Amendments to the Commercial Code

The Ministry abandoned proposed changes that would require articles of association and all amendments to be adopted exclusively in the form of a notarial deed.
  • We argued this would be administratively and financially burdensome for entrepreneurs.
  • The Ministry acknowledged our concerns and withdrew the proposal, preserving a flexible and efficient regime for business entities.
